Membership Terms of Service & Code of Conduct

These Terms of Service ("Terms") constitute a binding agreement between OVRLY Society ("OVRLY," "we," "us," or "our"), the parent or legal guardian executing this agreement, and the minor member identified in the Membership Application (collectively, "Member" or "you"). Please read these Terms carefully before completing the application.
OVRLY is a members-only youth organization creating safe and vetted ecosystems where teenagers are seen, celebrated, and held to the standard they deserve. OVRLY offers safe, curated live experiences including concerts, celebrity integrations, and cultural activations exclusively for young people ages 13 through 17. Our mission is to provide a secure, enriching, and community-centered environment as an intentional alternative to unorganized, unsupervised teen gatherings.
1. MEMBERSHIP ELIGIBILITY
To be eligible for OVRLY membership, an applicant must:
Be between the ages of 13 and 17 at the time of application submission
Submit a completed Membership Application co-signed by a parent or legal guardian
Be approved by OVRLY in its sole discretion following review of the application
Agree to abide by these Terms and the OVRLY Code of Conduct
Pay any applicable membership fees as specified in the Application
OVRLY reserves the right to accept or deny any application without obligation to provide a reason. Membership is a privilege, not a right.
2. PARENT AND GUARDIAN OBLIGATIONS
By enrolling their child in OVRLY, the parent or legal guardian agrees to:
Provide accurate and complete information in the Membership Application
Promptly notify OVRLY of any changes to contact, emergency, or health information
Ensure their child understands and complies with these Terms and the OVRLY Code of Conduct
Arrange and/or grant approvals over appropriate transportation to and from OVRLY events
Review all event communications and respond to any required RSVP or consent forms on a timely basis
Contact OVRLY immediately if their child experiences any safety concern or incident in connection with OVRLY
3. MEMBERSHIP TERM AND RENEWAL
Membership is issued on an annual basis and must be renewed each year. OVRLY will provide renewal notices at least thirty (30) days prior to the expiration of a membership term. Members who turn 18 during a membership term will not be eligible to renew and will be transitioned off the active membership roster at the end of that term.
4. CODE OF CONDUCT
4.1 Expected Behavior
All OVRLY members are expected to:
Treat fellow members, staff, artists, and guests with respect and dignity at all times
Follow all venue rules and instructions from OVRLY staff and security personnel
Refrain from bullying, harassment, intimidation, or discrimination
Maintain behavior consistent with a safe-space environment
Report unsafe conditions or concerning behavior to staff immediately
4.2 Prohibited Conduct
The following conduct is strictly prohibited:
Possession or use of alcohol, tobacco, illegal substances, or controlled substances
Possession of weapons of any kind
Physical violence, fighting, or threatening behavior
Sexual harassment or inappropriate physical contact
Vandalism or destruction of property
Unauthorized recording or distribution of other members’ media
Misrepresentation of age, identity, or parental consent
Any conduct deemed disruptive to safety or enjoyment of others
4.3 Consequences of Violations
Violations may result in:
Immediate removal from the event
Suspension or permanent revocation of membership without refund
Notification of parent or guardian
Referral to law enforcement where appropriate
5. EVENTS AND PROGRAMMING
5.1 Event Participation
Event details including dates, venues, performers, and celebrity participants are subject to change without notice. OVRLY does not guarantee the appearance of any specific individual or partner.
5.2 Supervision and Safety
OVRLY employs trained staff and contracted security at all events. However, OVRLY cannot guarantee the complete absence of risk. Parents and guardians acknowledge and accept this limitation.
Parents are responsible for communicating any medical conditions, allergies, or accommodations required.
5.3 Drop-Off and Pick-Up
For members under 16, a parent or designated adult must arrange drop-off and pick-up.
Members aged 16–17 may attend and depart independently only with prior written parental authorization on file.
OVRLY is not responsible for transportation outside event venues.
6. MEDIA RELEASE AND USE OF LIKENESS
OVRLY events are documented through photography and video for promotional and archival purposes.
By participating, the parent or legal guardian grants OVRLY a non-exclusive, royalty-free license to use images or recordings of the member for:
Website and digital platforms
Social media accounts
Press and media coverage
Sponsorship and fundraising materials
This does not include commercial advertising without separate consent.
Parents may request exclusion from media coverage in writing prior to each event. Reasonable efforts will be made, but exclusion from incidental capture cannot be guaranteed.
7. FEES, PAYMENTS, AND REFUNDS
Membership and event fees, if applicable, are outlined in the Membership Application.
All fees are non-refundable unless an event is cancelled by OVRLY. In such cases, OVRLY may issue a refund or credit at its discretion.
8. HEALTH AND MEDICAL CONSENT
In the event of a medical emergency where a parent or guardian cannot be reached, OVRLY staff may authorize emergency medical treatment solely to address immediate health or safety risks.
Parents and guardians must disclose known medical conditions, allergies, or medications relevant to participation.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by law, OVRLY is not liable for:
Injury or property damage unless caused by gross negligence
Loss or theft of personal belongings
Conduct of third parties including other attendees
Indirect or consequential damages
Nothing limits liability for fraud, death, or personal injury caused by negligence where prohibited by law.
10. INDEMNIFICATION
The parent or legal guardian agrees to indemnify and hold harmless OVRLY from claims arising out of:
Violation of these Terms
False or misleading application information
Conduct of the member or parent at events
11. TERMINATION OF MEMBERSHIP
OVRLY may suspend or revoke membership at any time, with or without cause.
Reasons may include:
Violation of Code of Conduct
Misrepresentation on application
Conduct inconsistent with OVRLY values
No refunds are provided upon termination.
Members may cancel membership at any time by written notice.
12. DISPUTE RESOLUTION
Any disputes must first be submitted to good-faith mediation.
These Terms are governed by the laws of the State of Georgia, with jurisdiction in Fulton County, Georgia.
13. GENERAL PROVISIONS
Entire Agreement: These Terms, Privacy Policy, and Membership Application constitute the full agreement.
Severability: If any provision is invalid, the rest remain in effect.
Amendments: OVRLY may update Terms with 30 days’ notice. Continued participation constitutes acceptance.
No Waiver: Failure to enforce any provision does not waive future enforcement.
Assignment: Membership may not be transferred. OVRLY may assign rights freely.
